Sigil R&D · Legal
Terms of Service
These terms govern your use of this website and of Sous, which Sigil R&D Inc. (“we”, “us”), a corporation incorporated in Ontario, Canada, provides. By using either one, you agree to them.
01 Businesses using Sous
Businesses use Sous under a separate written agreement with us, such as a subscription agreement or order form together with our data processing terms. If that agreement conflicts with these terms, the agreement governs. The people a business authorizes to use Sous, such as owners and managers, use it on that business's behalf.
02 Employees
If your employer uses Sous, you may receive shift texts and links to web pages about your shifts. Please note:
- Your employer, not Sigil R&D Inc., decides who is offered and who gets a shift. Sous delivers offers and records answers for them.
- A shift is yours only once Sous confirms it by text or on the shift's web page. Some employers approve each replacement first.
- Your work, pay and schedule remain governed by your employer's policies and the law. Sigil R&D Inc. is not your employer.
03 Text messages
Shift texts are governed by our SMS Terms, which form part of these terms. In short:
- Each employer's program is named after the employer, for example “Maple Street Diner shift texts,” and covers shift offers, confirmations, changes and sign-in links you request.
- You receive texts only after opting in. Consent is not a condition of employment.
- Message frequency varies. Msg & data rates may apply.
- Reply STOP to opt out at any time, or HELP for help. Support: [email protected].
- Wireless carriers are not liable for delayed or undelivered messages.
04 Accounts and sign-in links
Sign-in links are personal, work once and expire quickly. Don't forward them or share your account. Tell your manager, or us at [email protected], if you think someone else has used your account. We may suspend an account or end a session to protect you, other users or the service.
05 Acceptable use
You agree not to:
- use Sous unlawfully, or to text anyone who has not agreed to receive texts or who has opted out;
- try to access another business's data, another person's account, or parts of the service you are not authorized to use;
- probe, scan or test the service's security without our written permission, or interfere with its operation;
- upload malicious code, or content that infringes others' rights;
- copy, resell or reverse engineer the service, except as the law allows despite this restriction.
Security researchers: please report vulnerabilities to [email protected].
06 Data
Businesses own the data they put into Sous. We use it to provide the service as described in our Privacy Policy and in the business's agreement with us. If you send us feedback, we may use it without obligation to you.
07 Our property
Sous, this website and their content, software and branding belong to Sigil R&D Inc. or its licensors. These terms give you a limited, revocable right to use them as described here, and no other rights.
08 Other services
Sous can connect to scheduling, point-of-sale, HR and payroll systems that a business chooses, and relies on wireless carriers and other providers to deliver messages. Those services have their own terms, and we are not responsible for them.
09 Availability and changes
Sous is in early access. Features may change, and early-access features may be withdrawn. We work to keep the service available, but it may sometimes be interrupted, including for maintenance. Commitments to a business about availability are set out only in its agreement with us.
10 Disclaimers
To the extent the law allows, this website and Sous are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Sous helps businesses fill shifts but does not guarantee that a shift will be filled, and does not provide legal advice about labor law. Each business remains responsible for its own scheduling and employment decisions.
11 Limitation of liability
To the extent the law allows, Sigil R&D Inc. is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability to you, other than to a business under its agreement with us, is limited to one hundred Canadian dollars (CAD $100). Some places do not allow these limits, so they may not apply to you.
12 Ending your use
You may stop using Sous or this website at any time; employees can reply STOP to end shift texts. We may suspend or end access for anyone who breaks these terms or puts others or the service at risk.
13 Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have jurisdiction over any dispute about them. This does not take away any protection that the law of the place where you live or work gives you and that cannot be waived by agreement.
14 Changes to these terms
We may update these terms. The effective date above changes when we do. If a change is material, we tell businesses before it takes effect, and continued use after that means you accept the updated terms.
